Compaq shareholders appear to have voted nine to one in favour of the $22bn merger with Hewlett-Packard.
Compaq CEO Michael Capellas said in a conference call that early indications were that shareholders had given their overwhelming backing to the deal.
He added that that the arduous task of putting the two companies together would begin imminently.
The company spent around $50m on merger-related expenses in the six months since the deal was first announced.
Voting among HP shareholders was much closed following a vigorous 'vote no' campaign by Walter Hewlett.
The results are not expected for at least a month.
